1. Agreement to Terms

By linking your WhatsApp account with Walfred, accessing the Mission Control Dashboard, or using any part of the Walfred service ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Walfred ("we," "us," or "our").

2. Description of Service

Walfred is a WhatsApp-native AI personal assistant that provides:

  • Conversation Search: AI-powered search across your WhatsApp conversations.
  • Message Scheduling: Schedule one-time or recurring messages to your contacts.
  • Bulk Messaging: Send messages to multiple contacts using labels or groups.
  • Self-Reminders: Set personal reminders delivered through the bot.
  • Send on Your Behalf: AI-drafted messages sent with your approval.
  • Contact Memory: AI-maintained Person-centric relationship profiles aggregating your communication channels.
  • Voice Note Transcription: Automatic transcription and summarization of voice messages.
  • Morning Briefings: Daily digests of birthdays, events, and follow-ups.
  • Calendar & Meetings: Autonomous scheduling, meeting follow-ups, and calendar lifecycle integration.
  • Data Query Capabilities: Use natural language to securely query, filter, and extract insights from your messages and contacts.
  • Mission Control Dashboard: A web-based interface to manage contacts, messages, and settings.

The Service operates by linking to your WhatsApp account through WhatsApp Web technology. Walfred is not affiliated with, endorsed by, or sponsored by WhatsApp or Meta Platforms, Inc.

3. Eligibility

To use Walfred, you must:

  • Be at least 16 years of age.
  • Have a valid WhatsApp account.
  • Have the legal capacity to enter into these Terms.
  • Comply with WhatsApp's own Terms of Service.

4. Account and WhatsApp Linking

4.1 Linking Process

To use Walfred, you must link your WhatsApp account by scanning a QR code or using a pairing code. This creates a WhatsApp Web session that Walfred uses to deliver its services.

4.2 Your Responsibilities

You are responsible for:

  • Maintaining the security of your WhatsApp account.
  • All activity that occurs through your linked account.
  • Ensuring that messages sent through Walfred (including scheduled and AI-drafted messages) comply with applicable laws and WhatsApp's Terms of Service.
  • Reviewing AI-drafted messages before approving them for delivery.

4.3 Session Management

  • You may disconnect your WhatsApp from Walfred at any time.
  • We may disconnect your session for security reasons, maintenance, or if we detect a violation of these Terms.
  • Session connectivity depends on WhatsApp Web availability, which is outside our control.

5. Acceptable Use

Walfred is designed exclusively for personal relationship management. It is not a marketing tool, a sales outreach platform, or a bulk messaging service.

You agree not to use Walfred to:

  • Send spam, unsolicited messages, or bulk commercial/marketing messages.
  • Use scheduled messages or bulk messaging features for promotional, advertising, or lead-generation purposes.
  • Harass, threaten, or abuse any individual.
  • Distribute illegal, harmful, defamatory, or objectionable content.
  • Impersonate another person or entity.
  • Violate WhatsApp's Terms of Service or Community Guidelines.
  • Attempt to reverse-engineer, decompile, or exploit the Service.
  • Exceed any rate limits or usage thresholds we may establish.
  • Use the Service for any purpose that violates applicable law.

We reserve the right to suspend or terminate your access if you violate these rules.

5.1 WhatsApp Compliance and Account Risk

Walfred operates within WhatsApp's Terms of Service when used as intended — for personal, non-commercial relationship management. However, misusing Walfred to send unsolicited or bulk marketing messages may result in WhatsApp restricting or permanently banning your WhatsApp account. WhatsApp enforces its own anti-spam policies independently, and Walfred has no ability to prevent or reverse any action WhatsApp takes against your account. You assume full responsibility for how you use the Service and the consequences of that use on your WhatsApp account.

6. AI-Generated Content

6.1 Nature of AI Output

Walfred uses artificial intelligence (Google Gemini 2.0 Flash) to generate responses, draft messages, create contact summaries, translate natural language queries into safe SQL filters, and provide daily briefings. You acknowledge that:

  • AI-generated content may not always be accurate, complete, or appropriate.
  • AI-generated messages sent on your behalf are your responsibility once you approve them.
  • Contact profiles and summaries are AI interpretations and may contain errors.
  • Morning briefings and reminders are generated based on available data and may miss or misinterpret information.

6.2 No Professional Advice

Walfred does not provide legal, medical, financial, or professional advice. AI responses should not be relied upon as a substitute for professional judgment.

7. Privacy and Data

Your privacy is critically important to us. Please review our Privacy Policy for details on how we collect, use, and protect your data.

Key commitments:

  • We will never sell your data.
  • We will never use your data for advertising.
  • You can delete all your data at any time by messaging "Delete everything" to the bot.

8. Intellectual Property

8.1 Our Property

Walfred, including its software, design, AI models integration, brand, and documentation, is our intellectual property or licensed to us. You may not copy, modify, distribute, or create derivative works from any part of the Service without our written permission.

8.2 Your Content

You retain ownership of all messages, contacts, and content you share through Walfred. By using the Service, you grant us a limited, non-exclusive license to process your content solely for the purpose of providing the Service.

9. Service Availability

9.1 Free Trials and Subscriptions

Walfred may offer free trial periods or operate under a subscription model:

  • The Service may require an active subscription after any applicable free trial period ends.
  • You may cancel your subscription at any time, including mid-cycle. Cancellation takes effect at the end of the current billing period.
  • Features may change, be added, or be removed without prior notice as the platform evolves.
  • Existing free or lifetime beta users will be notified in advance of any mandatory billing changes that affect their access.

9.2 Dependencies

Walfred depends on third-party services including WhatsApp, Google Cloud, Supabase, and Pinecone. Service disruptions caused by these providers are outside our control.

9.3 Maintenance

We may temporarily suspend access for maintenance, updates, or security patches. We will make reasonable efforts to notify users of planned downtime.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Walfred is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
  • We are not liable for any messages sent, not sent, or incorrectly sent through the Service, including scheduled messages.
  • We are not liable for any loss, corruption, or unauthorized access to your data caused by circumstances beyond our reasonable control.
  • Our total liability for any claim related to the Service shall not exceed the amount you have paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Walfred, its founders, employees, and agents from any claims, damages, or expenses (including legal fees) arising from:

  • Your use of the Service.
  • Content you send through the Service.
  • Your violation of these Terms.
  • Your violation of any applicable law or third-party rights.

12. Termination

12.1 By You

You may stop using Walfred at any time by:

  • Disconnecting your WhatsApp session.
  • Requesting full data deletion by messaging "Delete everything" to the bot.

When you request deletion, we delete everything — your account, your WhatsApp session, all stored messages, contact profiles, AI-generated memory, scheduled messages, vector embeddings, and any other data associated with your account. Nothing is retained.

12.2 By Us

We may suspend or terminate your access at any time if:

  • You violate these Terms.
  • Your use poses a security risk to the Service or other users.
  • Required by law or regulation.
  • The Service is discontinued.

Upon termination, we will delete your data in accordance with our Privacy Policy.

13. Dispute Resolution

Before filing any formal legal proceedings, you agree to contact us first and attempt to resolve the dispute informally within 30 days.

14. Changes to These Terms

We may update these Terms from time to time. When we do:

  • The "Last Updated" date will be revised.
  • Material changes will be communicated via a message through the Walfred bot.
  • Continued use of the Service after changes constitutes acceptance of the updated Terms.

15. Miscellaneous

  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full effect.
  • Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.
  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Walfred regarding the Service.
  • Assignment: You may not assign your rights under these Terms. We may assign our rights in connection with a merger, acquisition, or sale of assets, provided that the assignee agrees to honor these Terms, including all data protection commitments. Your data will never be sold as part of any transaction.
